These Terms of Service (“Terms”) govern your access to and use of Cotta’s websites, applications, and related services (the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms.

The Service

Cotta helps you import, organize, adapt, and cook recipes, including through AI-assisted features and chat. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable.

Accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. Notify us promptly if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms or pose risk to the Service or other users.

Acceptable use

You agree not to:

  • Use the Service in violation of law or third-party rights.
  • Attempt to gain unauthorized access to our systems, other users’ accounts, or data.
  • Interfere with or disrupt the Service, including by transmitting malware or excessive automated traffic.
  • Use the Service to generate or distribute unlawful, harassing, defamatory, or infringing content.
  • Reverse engineer or attempt to extract source code or models except where applicable law permits.

Your content

You retain rights to content you submit. You grant Cotta a non-exclusive, worldwide license to host, use, reproduce, adapt, display, and distribute your content solely as necessary to operate, improve, and provide the Service to you and, in aggregated or de-identified form, for analytics and product improvement.

You represent that you have the rights needed to grant the above license. We may remove content that violates these Terms or that we are required to remove by law.

AI-generated output

Outputs from AI features are generated automatically and may be inaccurate, incomplete, or unsuitable for your situation (for example, allergies, medical diets, or food safety). AI output is not professional advice. You are responsible for how you use the Service in the kitchen and should verify critical information (including allergens, temperatures, and doneness) independently.

Subscriptions and payments

Paid plans are billed through Stripe. Fees, renewal, cancellation, and refunds are disclosed at purchase and may be subject to Stripe’s terms and your card issuer’s rules. We may change pricing with notice as described in-product or by email. Failure to pay may result in downgrade or loss of paid features.

Intellectual property

The Service, including software, branding, and documentation, is owned by Cotta and its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COTTA AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE US DOLLAR (US $1), IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATION TO US.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Indemnity

You will defend and indemnify Cotta and its affiliates, officers, and employees against any third-party claims, damages, and costs (including reasonable attorneys’ fees) arising from your content, your use of the Service in violation of these Terms, or your violation of law or third-party rights.

Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we cease offering the Service. Provisions that by their nature should survive (including disclaimers, limitations of liability, indemnity, and governing law) will survive termination.

Governing law; disputes

Unless mandatory laws of your jurisdiction provide otherwise, these Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules. You and Cotta agree that the state and federal courts located in Delaware have exclusive jurisdiction over disputes arising from these Terms or the Service, subject to rights consumers may have to bring claims in their home courts under applicable consumer protection law.

Changes

We may update these Terms from time to time. If changes are material, we will provide notice as appropriate (for example, by posting on the Service or emailing you). Continued use after the effective date constitutes acceptance of the updated Terms.
